JUST Stiftung

The purpose of the foundation is: a) to promote the economic development of the Eastern Switzerland region through grants to existing and newly founded companies in this region, in particular in the area of direct sales b) to support the cultural and economic development of the Eastern Switzerland region, in particular of Walzenhausen / AR c) the sponsorship of talented athletes and artists from Eastern Switzerland and especially from Walzenhausen d) the donation of financial resources to charitable institutions with a sphere of activity in Eastern Switzerland. In order to achieve the main purpose mentioned in a), the foundation can hold stakes in companies (hereinafter JUST companies) that are directly or indirectly related to the founder of the JUST Group, Ulrich Jüstrich, von Berneck / SG and Walzenhausen / AR, born on February 13th, 1903, died on December 3rd, 1985. Such participations may only be sold if the majority of the other shareholders of the JUST companies also agree to a sale. If the majority of the other shareholders of the JUST companies decide to have individual JUST companies or the entire JUST group listed on the stock exchange in whole or in part or to sell them in another way (trade sale, asset deal, liquidation, etc. .), the JUST Foundation must also contribute its contributions. The foundation has no influence on the operational activities of the JUST companies; the right to participate in the staffing of the board of directors and the auditors remains reserved.
